Terms of Service

These Terms govern your use of Pocket Counsel, an app and service operated by Blixum, LLC ("we," "our," "Blixum"), a Michigan limited liability company. By creating an account or using the service you agree to these Terms.

1. Definitions

Service means the Pocket Counsel mobile application, the website at usepocketcounsel.com, and any related features. Account means the user record you create when you sign up. Content means anything you provide to the Service — typed text, voice recordings, photos, PDFs, drafts. Output means the summaries, drafts, and other material the Service produces from your Content using artificial intelligence. Lawyer Listing means a listing of an independent attorney within the Service's directory feature.

2. Eligibility

You must be at least 18 years old and a resident of the United States to use the Service at this time. You must have the legal capacity to enter into binding contracts. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. What Pocket Counsel is — and is not

Pocket Counsel is not a law firm. Blixum, LLC is not a law firm. We do not provide legal advice. The Service provides general legal information, document analysis, and drafting assistance only. Output is informational and educational and is not a substitute for advice from a licensed attorney about your specific situation.

No attorney-client relationship is formed between you and Blixum, LLC, or between you and any attorney listed in the Service's directory feature, by your use of the Service. No attorney-client privilege attaches to anything you submit to the Service or anything the Service produces.

The Service's directory feature is a directory listing service, not a lawyer referral service. We do not endorse, certify, supervise, or take a fee from any attorney listed. You and any attorney you contact through the Service deal with each other directly and off-platform.

4. AI Output disclaimer

The Service uses third-party large language models (currently provided by Anthropic, PBC) to produce Output. Large language models can be inaccurate, incomplete, or out of date. They can produce confidently stated text that is wrong. They can misinterpret legal documents, miss deadlines, or generate language that does not reflect the law in your jurisdiction.

5. Lawyer Connect feature

The Service may, at your election, send a summary of your situation to one or more attorneys listed in our directory. Those attorneys are independent third parties. Pocket Counsel does not represent you, does not vouch for any attorney's competence or ethics, and does not guarantee that any attorney will respond. We do not split fees, take referral fees, or earn commissions from any attorney listed in the directory. Any engagement you reach with an attorney is between you and them.

6. Subscriptions and billing

The Service offers paid subscription plans (currently $4.99 / month and $39.99 / year) and a one-time lifetime plan ($99.99). Premium features — including AI summaries, draft generation, document scanning, key-term extraction, and email export — require an active subscription or lifetime purchase.

Subscriptions are billed by Apple Inc. through the App Store or Google LLC through Google Play, depending on your device. We do not handle your payment information directly. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period. You may manage and cancel subscriptions in the App Store or Google Play account settings on your device.

Refund requests are handled by the platform that processed your payment, per their policies. Blixum, LLC cannot directly refund App Store or Google Play purchases. Free trials, where offered, automatically convert to paid subscriptions unless cancelled before the trial ends.

Prices may change. We will give you notice of any change at least 30 days in advance and the change will take effect at your next billing cycle.

You will not use the Service to:

8. Your content

You retain all rights in the Content you submit. You grant Blixum, LLC a limited, non-exclusive, royalty-free license to host, store, transmit, and process your Content solely for the purpose of providing the Service to you (including running AI inference, OCR, and storage). This license ends when you delete the Content or your Account.

We do not use your Content to train artificial intelligence models. Our AI providers (currently Anthropic, PBC) are contractually obligated under their API terms not to train on your data either.

9. Account termination

You may delete your Account at any time from within the app. We will delete your Content within 30 days of your deletion request, except that we may retain audit logs and other minimal records as required for legal, security, or fraud-prevention purposes for up to 12 months. Backups are purged on a rolling 30-day cycle.

We may suspend or terminate your Account if you materially violate these Terms or use the Service in a way that creates legal exposure or harms other users.

10. Intellectual property

The Service, including the Pocket Counsel name, the P-mark, the underlying software, and our prompts and prompt templates, is owned by Blixum, LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. Output produced from your Content is yours to use; we make no warranty of any kind, including no warranty of accuracy, fitness for purpose, or non-infringement, regarding Output.

11. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLIXUM, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLIXUM, LLC'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to indemnify and hold Blixum, LLC and its officers, members, employees, and agents harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service in violation of these Terms or applicable law, (b) Content you submit, or (c) any action you take in reliance on Output without independently verifying it.

13. Dispute resolution

Informal resolution first. If you have a dispute with us, you agree to first contact us at legal@usepocketcounsel.com and try to resolve the dispute informally for at least 30 days.

Arbitration. If we cannot resolve the dispute informally, you and Blixum, LLC agree to resolve any remaining dispute through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Grand Traverse County, Michigan, or by video. Each party bears its own attorneys' fees, except as the arbitrator may order.

Class-action waiver. You and Blixum, LLC each agree that any dispute will be resolved on an individual basis. Neither party will participate in a class action, class arbitration, or representative proceeding. If this class-action waiver is held unenforceable, the entire arbitration provision will be void.

Small claims exception. Either party may bring a qualifying claim in small-claims court instead of arbitration.

Governing law. These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws rules. Any non-arbitrable dispute will be brought in the state or federal courts of Grand Traverse County, Michigan.

14. Changes to these Terms

We may update these Terms from time to time. If we make a material change, we will notify you in-app or by email and you will have an opportunity to review the change before it takes effect. Continued use of the Service after the effective date constitutes acceptance.
